Independent Contractor Agreement - Full Time - 60/40

This AGREEMENT made between BlueStone Psychotherapy, PLLC having a principal place of business at: 17714 Kings Point Drive (Suite B) Cornelius, NC 28031, hereinafter referred to as “BlueStone”, , an independent contractor having a principal place of business at BlueStone Psychotherapy, PLLC, hereinafter referred to as “Contractor”.

Term of the Contract. This agreement will become effective on December 7, 2023and will continue in effect until the services provided for herein have been performed or until terminated as mutually agreed.

Specific Services. Contractor agrees to provide psychological and counseling services to individuals, groups, and families, which are within the scope of his/her training and experience. These services shall comply with accepted clinical standards and the professional and ethical standards by which the Contractor is bound. The contractor agrees to abide by the policies and procedures of Bluestone.

Method of Performing Services. Contractor will determine the method, details, and means of performing the above-described services in accordance with professional and ethical standards of the Contractor's profession.

Compensation. All Contractor earnings through BlueStone Psychotherapy, PLLC will be subject to a 60/40 Contractor/BlueStone split. This includes: Private Pay, Co Pays, Insurance, Sliding Scale, and any other billing method used or originating through the website provided by BlueStone.

Liability Insurance. Contractor agrees to maintain a policy of liability insurance in the minimum amount of One million ($100,000,000) to cover any negligent acts committed by the Contractor during the performance of any duties under the Agreement. Contractor agrees to provide BlueStone proof of said coverage and to name BlueStone as "other insured" on their policy. Contractor further agrees to hold BlueStone free and harmless from any and all claims arising from any such negligent act or omission.

Assignment. Neither this agreement nor any duties or obligations under the Agreement may be assigned by Contractor without the prior written consent of BlueStone.

Cooperation of BlueStone Psychotherapy. BlueStone agrees to supply to the Contractor the following services and supplies: secretarial services, billing and collection services, reasonable office supplies, necessary space for the Contractor to perform his duties, a website presence, and insurance billing services as needed.

Designation of Full Time – Contractor shall provide a minimum 20 client hours per week on a rolling 8-week average. BlueStone shall provide office space for contractor’s exclusive use while performing the above-described duties. The minimum of 20 client hours per week shall be effective 120 days following the date of execution of this agreement.

Place of Work. BlueStone shall provide all office furnishings. Contractors may personalize their exclusive or shared office space (hanging of credentials, etc.). Any further modifications to office space must be approved by BlueStone.

Client Fees. Any changes in Client fees shall be applicable to Contractor.

Use of BlueStone Name. Use of the name, BlueStone Psychotherapy, PLLC, for advertising or promotional purposes shall be with the prior written approval of BlueStone. The Contractor shall not use the name, BlueStone Psychotherapy, PLLC or that of any owner or employee of BlueStone Psychotherapy, PLLC to incur any debt or financial obligation.

Entire Agreement of the Parties. This Agreement supersedes any and all agreements, either oral or written, between the parties hereto with respect to the rendering of services by Contractor for BlueStone and contains all of the covenants and agreements between the parties with respect to the rendering of such services in any manner whatsoever. Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement, or promise not contained in this Agreement shall be valid or binding. Any modification of this Agreement will be effective only if it is in writing signed by both parties.

Partial Invalidity. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions with nevertheless continue in full force without being impaired or invalidated in any way.

Arbitration. Any controversy or claim arising out of or relating to this Agreement or the breach thereof shall be settled by arbitration.

Client Records. All Client records of the Contractor shall remain the property of the Contractor upon termination of the Agreement.

Notice of Termination. Both parties agree to submit a written notice of termination of this agreement to the other party at least thirty days prior to an effective termination date.

Governing Law. This Agreement will be governed by and construed in accordance with the laws of the State of North Carolina.
